1. Agreement to Terms

Welcome to MNPLY Stream Companion. These Terms of Service ("Terms") govern your access to and use of our live streaming management application and services ("Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Description of Service

MNPLY Stream Companion is a live streaming management platform that enables users to:

  • Upload and manage video content for live streaming
  • Create and configure stream overlays with images and QR codes
  • Connect and manage streaming destinations including YouTube
  • Schedule and manage YouTube live broadcasts
  • Stream video content to multiple platforms simultaneously
  • Create playlists and compositions for automated streaming
  • Send automated messages to YouTube live chat

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

3.3 Account Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this eligibility requirement.

4. Third-Party Services

4.1 YouTube API Services

Our Service uses YouTube API Services to enable live streaming and broadcast management. By connecting your YouTube account to our Service, you also agree to be bound by:

You agree to comply with YouTube's Community Guidelines when streaming content through our Service. You are solely responsible for ensuring that your content does not violate YouTube's policies.

4.3 Revoking Third-Party Access

You may revoke our access to your connected third-party accounts at any time through our Service or through the third party's security settings. Revoking access may limit the functionality of certain Service features.

5. User Content

5.1 Your Content

"User Content" means any content you upload, submit, or transmit through the Service, including videos, images, overlays, and stream configurations. You retain ownership of your User Content.

5.2 License Grant

By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and transmit your User Content solely for the purpose of providing the Service to you.

5.3 Content Responsibility

You are solely responsible for your User Content and the consequences of uploading or publishing it. You represent and warrant that:

  • You own or have the necessary rights to use and authorize use of your User Content
  • Your User Content does not infringe any third party's intellectual property rights
  • Your User Content does not violate any applicable laws or regulations
  • Your User Content does not contain harmful, offensive, or inappropriate material

6. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Stream content that infringes intellectual property rights of others
  • Stream content that is defamatory, obscene, pornographic, or harmful
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers connected to the Service
  • Attempt to gain unauthorized access to the Service or other accounts
  • Use the Service to send spam or unsolicited messages
  • Use automated systems or bots to abuse the Service
  • Circumvent any access or usage restrictions of the Service
  • Violate YouTube's Terms of Service or Community Guidelines while using our Service

7. Intellectual Property

7.1 Our Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by MNPLY Stream Companion and are protected by international copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

8. Service Availability

We strive to provide reliable service but do not guarantee that the Service will be available at all times. The Service may be subject to interruptions, delays, or errors due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MNPLY STREAM COMPANION, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Interruptions to your live streams or broadcast failures
  • Actions taken by YouTube or other third-party platforms

11. Indemnification

You agree to defend, indemnify, and hold harmless MNPLY Stream Companion and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party right, including intellectual property rights
  • Your User Content
  • Any claim that your User Content caused damage to a third party

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us or using the account deletion features in the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Brazil, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Brazil.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MNPLY Stream Companion regarding the Service and supersede all prior agreements and understandings.
